Key Responsibilities

  • Managing corporate secretarial duties for a portfolio of client companies, including preparing board minutes, resolutions, and general meeting documents.
  • Ensuring timely and accurate filing of statutory documents with relevant Swiss authorities (e.g., Commercial Register).
  • Assisting with the incorporation, liquidation, and amendment of client entities.
  • Maintaining corporate records, registers, and databases with high precision and confidentiality.
  • Liaising effectively with clients, legal advisors, banks, and other third parties on corporate matters.
  • Supporting the onboarding process for new clients, including KYC (Know Your Customer) and due diligence procedures.
  • Assisting with compliance checks and ensuring strict adherence to local regulations and TMF Group policies.
  • Handling administrative tasks related to client entities, such as opening bank accounts and managing powers of attorney.
  • Contributing to process improvements and operational efficiency initiatives within the corporate secretarial team.

Required Skills

  • Proven experience (at least 2 years) in corporate administration, paralegal, or a similar role, preferably within a corporate services provider or legal firm in Switzerland.
  • Solid understanding of Swiss company law and corporate governance principles.
  • Proficiency in German and English, both written and spoken, is essential. Strong command of French or Italian is a significant asset.
  • Exceptional organizational skills and meticulous attention to detail.
  • Strong verbal and written communication skills with the ability to articulate complex information clearly.
  • Ability to manage multiple tasks and priorities effectively under pressure while maintaining high standards.
  • Proficient in MS Office Suite (Word, Excel, Outlook).
  • Client-focused approach with a professional and discreet demeanor.

Preferred Qualifications

  • Bachelor's degree in Law, Business Administration, Economics, or a related field.
  • Further education or professional certification in corporate governance or company secretarial practice (e.g., Swiss Federal Diploma).
  • Experience with entity management software (e.g., Blueprint, GEMS, or similar corporate secretarial systems).
  • Knowledge of international corporate structures and cross-border compliance frameworks.
