Job Description
Are you an experienced corporate governance professional seeking a pivotal role in shaping the strategic direction and ensuring the highest standards of compliance for a leading financial institution in the Democratic Republic of Congo? Equity BCDC, a prominent banking entity committed to fostering economic growth and financial inclusion across the DRC, is seeking a highly skilled and dedicated Board Secretary for Corporate Affairs to join our team in Ilebo, Kasai Province. This crucial position will serve as a cornerstone of our corporate governance framework, ensuring seamless operations of our board and its committees, upholding statutory and regulatory compliance, and facilitating effective communication between the board, management, and stakeholders. Key Responsibilities
- Manage the effective and efficient administration of Board and Committee meetings, including preparation of agendas, board packs, minutes, and resolutions.
- Ensure compliance with all relevant statutory and regulatory requirements, including those from the Central Bank of Congo and other supervisory bodies.
- Provide expert advice and guidance to the Board of Directors and senior management on corporate governance best practices, ethics, and legal compliance.
- Act as a central point of communication between the Board, senior management, shareholders, and external stakeholders on governance matters.
- Oversee the maintenance of corporate records, including statutory registers, board minutes, and other crucial corporate documentation.
- Facilitate Board induction and ongoing professional development for Directors.
- Manage and administer the corporate seal and ensure proper execution of corporate documents.
- Assist in the preparation of annual reports, financial statements, and other public disclosures to ensure accuracy and compliance.
- Support the Chairman and CEO in fostering good corporate governance culture throughout the organization.
Required Skills
- Proven experience as a Board Secretary or in a similar corporate governance role, preferably within the banking or financial services sector.
- Deep understanding of corporate law, regulatory frameworks, and governance principles in the DRC.
- Exceptional organizational and time management skills with the ability to manage multiple priorities effectively.
- Strong written and verbal communication skills in both French and English.
- Meticulous attention to detail and a high degree of accuracy in all work.
- Ability to maintain confidentiality and exercise discretion.
- Proficiency in Microsoft Office Suite and corporate governance software.
Preferred Qualifications
- Master's degree in Law, Business Administration, Finance, or a related field.
- Professional qualification such as Chartered Secretary (CS) or equivalent.
- Experience working with diverse boards and senior leadership in a multi-stakeholder environment.
- Knowledge of local business practices and cultural nuances in the Kasai Province and DRC.
